1. Having received a brief of requirements from The Client, either verbal or written, Webgatorz.com will produce a quotation detailing the work to be carried out. The Client must provide written or verbal confirmation that the quotation is acceptable by signing and returning a copy of the quotation or verbally agreeing to cost or by other means agreed by the both parties. This will effectively form the basis of the contract.

2. This agreement constitutes the entire agreement between Webgatorz.com and The Client. In making this agreement each party confirms that they have not relied on any inducement not recorded in this agreement.

Copyright and Content

1. The Client MUST own copyright, or have reproduction rights, of all artwork, trade names, photographs, and other materials reproduced in The Client's project. The Client shall indemnify Webgatorz.com against any costs whatsoever in connection with the ownership of copyright or reproduction rights. The Client shall have full liability for the consequences of the contents of the printed literature, website or other project commissioned.

2. The Client's logos, artwork, graphics and photographs remain the copyright of The Client. Design, graphics and programming produced by Webgatorz.com remain the intellectual property of Webgatorz.com (unless other agreements are made and full and final payment has been agreed upon and received).

3. All preliminary work carried out at The Client's request, whether experimentally or otherwise, shall be charged to The Client.

4. Webgatorz.com withholds the right to refuse publication of any content which it sees as being indecent, obscene or offensive towards others.

5. Proofs of all printed work may be submitted for The Client's approval and Webgatorz.com shall not be liable for errors not corrected by The Client in such proofs. The Client's alterations and additional proofs necessitated thereby shall be charged as additional charges. When style, type or layout is left to the judgement of Webgatorz.com, changes there from made by The Client shall be charged as additional charges. No responsibility will be accepted for any errors, including colour variations, in proofs approved by The Client.

Web Site Design

1. Webgatorz.com will produce and publish temporarily on the Webgatorz.com web site a design proof for The Client's approval. The design copyright of the proof shall remain the sole property of Webgatorz.com. Use of the design in any respect without the express written or verbal permission of Webgatorz.com will constitute breach of copyright.

2. Webgatorz.com will complete the design and build of The Client's web site after receiving confirmation that the design proof is satisfactory.

3. Webgatorz.com will release Web Site code and graphics when payment of the final invoice for the outstanding quotation value is received in full.

4. Once Webgatorz.com has received written or verbal confirmation that the design proof is satisfactory, modifications to the design specification will be considered an amendment to the contract. All modifications must be confirmed in writing.

5. Our consultancy service and general advice is, by its nature, subjective. It is up to The Client whether they decide to follow our ideas and suggestions. We cannot guarantee that any of those ideas and suggestions will increase traffic to The Client's web site, improve ratings with search engines or boost sales.

6. The Client's supplied code with remain the copyright of the Client. Design, graphics and programming produced by Webgatorz.com remain the intellectual property of Webgatorz.com although the company will provide full access to the source code. Some parts of the software code may also be the intellectual property of others licensed for use in the site and code (unless other agreements are made and full and final payment has been received).

You may not:

• Resell or redistribute website designs we have created for the client (like we do).
• Claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of content providing companies and individuals such as Webgatorz.com etc. Make more than one project using the same website design by Webgatorz.com (you have to purchase the same website design once more in order to make another project or website with the same design)

webgatorz.com maintains this Web site as a service to its visitors. By using this Web site, you agree to comply with and be bounded to the following terms and conditions. The copying, redistribution, use or publication of any such matters or any part of webgatorz.com is strictly prohibited except by special agreement between webgatorz.com and you. You do not acquire ownership rights to any content, product or other matters viewed and delivered through webgatorz.com. All the copyrights for webgatorz.com products as stated in webgatorz.com Terms of Use are reserved.

1) webgatorz.com is only responsible for implementing the project as specified in the FREE Quote and project description. If the customer wishes to make additional changes he should request an additional quote, otherwise he agrees to accept the template running result.

2) webgatorz.com has a right to cancel the order and refund in the following cases:

a) The client does not give webgatorz.com all the data necessary for customization;

b) The client demands unreasonable revision of the order.

c) webgatorz.com billing officers suspect the payment to be fraud.

3) webgatorz.com has the right to set an extra price quote if the client wishes to make additional project changes which were not stipulated before and were not stated in the project description.

4) webgatorz.com does not guarantee to complete tuning to schedule specified in Preliminary Term of Delivery. Breaks in production may happen because of customer's activity (i.e. the client doesn't give webgatorz.com all the data necessary for customization or gives false contacts).

5) webgatorz.com has a right to request authentication of the cardholder (such as a scanned image of the credit card without its numbers and credit card statement) if webgatorz.com billing officers suspect the payment to be fraud.

6) As soon as the customer receives the download link and accepts the result the project is considered to be implemented successfully and isn't to be reviewed or revised.

LICENSE

Our website grants you non-exclusive limited license to use the web templates and other products sold through our web site by independent content providers (the "products") in accordance with these Terms and Conditions (the "license") issued by our company.

You may use each individual product on a single website only, belonging to either you or your client. You have to purchase the same template once more in order to make another project with the same design
